Terms and Conditions for Electronic Services (Spisin)

§ 1. General Provisions
These Regulations specify the rules for using the web application
known as "Spisin", available at spisin.com (hereinafter referred to as
the "Application" or "Service").
The owner and operator of the Application is: Łukasz Słupik
conducting business under the name: Łukasz Słupik, ul. Gwarków 14,
44-230 Czerwionka-Leszczyny, Poland, NIP (Tax ID): PL6423226648
(hereinafter referred to as the "Service Provider"). Contact with the
Service Provider is possible at the e-mail address:
contact@spisin.com.
The Application is used for creating, managing, and publishing digital menus
for restaurants and other dining establishments.
§ 2. Definitions
User – a natural person, legal person, or organizational unit without
legal personality who has set up an Account in the Application.
Consumer – a User who is a natural person performing a legal act with the
entrepreneur not directly related to their business or professional activity.
Entrepreneur – a User who is not a Consumer.
Paddle – external payment service provider and formal seller (Merchant of
Record) of subscriptions, Paddle.com Market Ltd.
Trial Period – a free period of 10 days during which the User can test the
functionality of the Application without providing payment details.
§ 3. Technical Requirements
To use the Application, the following are necessary:
a) A device with Internet access.
b) An up-to-date version of a web browser (e.g., Google Chrome, Mozilla
Firefox, Safari, Microsoft Edge) with Cookies and JavaScript enabled.
c) An active e-mail account.
The Service Provider does not guarantee the correct operation of the Application
on outdated operating systems or browsers.
§ 4. Account and Registration
Creating an Account is voluntary and free of charge.
Registration takes place by filling out the form (e-mail and password) or
authorization via a Google account.
The User undertakes to provide true data.
The User is responsible for the confidentiality of their password. The Service
Provider is not liable for the consequences of sharing the password with
third parties.
Each new User receives access to a 10-day Trial Period. After it ends, if
a subscription is not purchased, access to the editing functions and menu
visibility will be blocked.
§ 5. Rules for Using Services and Content
The User may create menus, add photos, descriptions, prices, and use
the automatic translation function.
License: Upon entering content (photos, descriptions, logos) into the Application,
the User grants the Service Provider a non-exclusive, royalty-free, worldwide
license to store, display, and distribute this content as part of the Application's
operation (e.g., displaying the menu to restaurant customers).
Prohibited content: It is forbidden to publish unlawful, vulgar content
in the Application, content violating the personal rights of third parties,
copyright, or promoting hatred.
Account blocking: The Service Provider reserves the right to block the Account
or remove a specific menu if it violates the provisions of the Regulations
or the law, without the right to a refund for the unused subscription period
(in the case of Entrepreneurs).
Translations: The translation function is implemented using an external
API (DeepL). The Service Provider does not guarantee 100% correctness of
translations and is not liable for substantive errors in the translated
menu. The User is obliged to verify the content before publication. Automated
translations cannot constitute the sole basis for making decisions affecting
health or life (e.g., in the case of severe food allergies).
Allergen Information and Dietary Preferences: The Application provides functionality
for marking allergens and dietary characteristics of dishes (e.g., vegan,
gluten-free) in the menu. The Service Provider provides only the technical
tool and does not verify the correctness of the entered data. The User (restaurateur)
bears sole responsibility for providing consumers with reliable and factual
information about the composition and characteristics of dishes. The Service
Provider is not liable for any health damage to consumers resulting from
incorrect marking or failure to mark allergens or dietary characteristics
in the menu.
Custom Domain: Users on higher subscription plans may connect their own
internet domain. The User is obliged to independently configure DNS records
with their domain registrar in accordance with the Service Provider's instructions.
The Service Provider is not liable for menu unavailability resulting from
incorrect domain configuration, its expiration, or issues on the side of
the User's domain registrar.
Menu import from photo (AI): The Application allows for automatic menu creation
based on an uploaded photo using Artificial Intelligence (Google Gemini).
The Service Provider does not guarantee the correctness, completeness, or
error-free nature of the data generated by AI. The User is obliged to thoroughly
verify all imported items (in particular prices, names, and descriptions)
before publishing them. The Service Provider is not liable for errors in
the menu resulting from relying solely on automated extraction.
§ 6. Payments and Subscriptions (Paddle)
The subscription seller (Merchant of Record) is Paddle.
All payments and invoices are handled directly by Paddle in accordance with
their terms and conditions.
The Service Provider (Spisin) only provides the interface for selecting
the package (Pro/VIP) and billing period.
Subscription expiration: In the absence of payment for the subsequent period,
the User's menu is immediately hidden (stops being visible publicly). Reactivation
occurs after paying for the subscription.
The Service Provider reserves the right to change subscription prices. Price
changes do not apply to already paid periods and enter into force at the
beginning of a new billing period.
§ 7. Refund Policy
All refund processes are handled by Paddle.
For Entrepreneurs (B2B): Due to the provision of a fully
functional, free 10-day Trial Period allowing for verification of the Application's
utility, the Service Provider generally does not offer refunds for paid
subscriptions, unless mandatory legal provisions state otherwise.
For Consumers (B2C): The Consumer has the right to withdraw
from the subscription purchase agreement within 14 days of its conclusion
without giving a reason. To exercise the right of withdrawal, please contact
Paddle support (as the seller) or the Service Provider.

§ 8. Liability (Applies to Entrepreneurs)
This section applies exclusively to Users who are not Consumers (B2B).
The Service Provider provides services on an "AS IS" basis and does not
grant guarantees regarding the uninterrupted availability of the Application.
The Service Provider's liability for non-performance or improper performance
of the contract is limited to the amount of the fee paid by the User for
the last billing period (month or year).
The Service Provider is not liable for the User's lost profits (lucrum cessans)
(e.g., losses resulting from menu unavailability during peak hours).
Warranty for physical and legal defects of the Application is excluded.
The Service Provider shall not be liable for non-performance or improper
performance of services resulting from: a) force majeure (e.g., flood, fire,
war, strikes, DDoS attacks), b) causes attributable to third parties for
which the Service Provider is not responsible (e.g., failure of internet
providers, data center and hosting provider failures, payment system failures),
c) improper use of the Application by the User.
The Service Provider makes efforts to secure Users' data (backups), however,
strictly limits its liability for accidental loss of data (e.g., menu content,
photos) resulting from IT system failures. The User should maintain their
own copies of materials uploaded to the Application.
§ 9. Consumers (Additional Rights)
This section applies exclusively to Users who are Consumers.
The Service Provider is liable for the conformity of the performance with
the contract on the terms specified in the Consumer Rights Act.
The Consumer has the possibility to use out-of-court complaint consideration
and redress methods (e.g., the ODR platform in the EU).
§ 10. Complaints
All complaints regarding the operation of the Application should be
reported to the e-mail address: contact@spisin.com.
The report should contain a description of the problem and Account identification
data (e-mail address).
The Service Provider will consider the complaint within 14 days of its receipt.
The response will be sent to the User's e-mail address.
§ 11. Account Deletion and Data
The User may delete their Account at any time using the option
available in the Application settings.
Account deletion is irreversible and results in the removal of all created
menus and loss of access to the paid subscription.
§ 12. Final Provisions
The applicable law for obligations resulting from these Regulations is
Polish law.
In matters not regulated by these Regulations, the provisions of the Civil
Code and other relevant provisions of Polish law shall apply.
In the case of disputes with Entrepreneurs, the court competent for the
Service Provider's seat is the competent court.
The Regulations may change. Users will be notified of significant changes
via e-mail at least 7 days in advance.
